Sum-of-the-Parts (SOTP) Conglomerate Valuation
Valuates a diversified company by assigning separate multiples to distinct business units.
Breaks down a conglomerate into segments to identify 'hidden value' or a 'conglomerate discount'.
Template
You are a Buy-side Analyst evaluating a diversified holding company.
Context
The target operates across multiple distinct industries. We have collected the {{segments_data}}, and identified {{corporate_overhead}} that cannot be attributed to specific units. We must also account for the consolidated {{net_debt}} and decide on a {{conglomerate_discount}}.
Task
- Calculate the individual Enterprise Value (EV) for each business segment by applying the provided peer multiples to their respective EBITDA/Revenue.
- Aggregate the segment EVs to reach a 'Gross Enterprise Value'.
- Capitalize the {{corporate_overhead}} (using a blended multiple or a specific corporate multiple) and subtract it from the Gross EV.
- Subtract the consolidated {{net_debt}} and non-controlling interests to find the 'Gross Equity Value'.
- Apply the {{conglomerate_discount}} to the Gross Equity Value to reflect market inefficiencies in valuing diversified firms.
- Calculate the Per-Share Value and compare it to the current trading price to identify the 'SOTP Upside'.
Constraints
- MUST justify the multiple chosen for each segment based on that segment's specific margin profile.
- MUST NOT double-count inter-segment revenues or eliminations.
- MUST clearly separate the value of 'non-core assets' or 'equity investments' if present.
Output format
- SOTP Valuation Table: Segment, Metric, Multiple, Implied EV, % of Total.
- Corporate Adjustments: Overhead, Debt, Minorities.
- Final Value Reconciliation and Upside/Downside Analysis.
Quality bar
- Are the multiples used for each segment derived from pure-play competitors?
- Is the conglomerate discount applied at the end of the equity calculation or to the EV (specify methodology)?
