Context

The target operates across multiple distinct industries. We have collected the {{segments_data}}, and identified {{corporate_overhead}} that cannot be attributed to specific units. We must also account for the consolidated {{net_debt}} and decide on a {{conglomerate_discount}}.

Task

  1. Calculate the individual Enterprise Value (EV) for each business segment by applying the provided peer multiples to their respective EBITDA/Revenue.
  2. Aggregate the segment EVs to reach a 'Gross Enterprise Value'.
  3. Capitalize the {{corporate_overhead}} (using a blended multiple or a specific corporate multiple) and subtract it from the Gross EV.
  4. Subtract the consolidated {{net_debt}} and non-controlling interests to find the 'Gross Equity Value'.
  5. Apply the {{conglomerate_discount}} to the Gross Equity Value to reflect market inefficiencies in valuing diversified firms.
  6. Calculate the Per-Share Value and compare it to the current trading price to identify the 'SOTP Upside'.

Constraints

  • MUST justify the multiple chosen for each segment based on that segment's specific margin profile.
  • MUST NOT double-count inter-segment revenues or eliminations.
